These Terms and Conditions govern your access to and use of the services and website provided by Fentria Systems LLC. By using our services, you enter into a binding agreement with us on these Terms.
1. Acceptance of Terms
By accessing or using the website, services, and products of Fentria Systems LLC ("Fentria," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use our services. These Terms apply to all visitors, users, and customers of our services.
2. Services
Fentria provides enterprise-grade VoIP, cloud PBX, SIP trunking, hosted voice, unified communications, and related telecommunications services. The specific services you purchase are governed by these Terms together with any applicable service agreement, order form, or statement of work that you sign with us. In the event of a conflict, the signed agreement controls.
3. Accounts and Registration
To use certain services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
4. Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy. You are responsible for the traffic originating from your account and for ensuring that your use complies with all applicable laws and regulations.
- •You will not use our services to transmit unlawful, fraudulent, abusive, or harassing communications.
- •You will not attempt to gain unauthorized access to our systems, networks, or other customers' data.
- •You will not resell or sublicense our services without written authorization.
- •You will not interfere with or disrupt the integrity of our network or the services provided to other customers.
5. Number Porting and Regulatory Compliance
Where we port telephone numbers on your behalf, you represent that you have the authority to port those numbers and that the information you provide is accurate. Number porting is subject to the cooperation of your current carrier and applicable regulatory requirements. We are not liable for delays or refusals caused by third-party carriers. You are responsible for complying with all laws applicable to your use of telephone numbers, including those related to E911, consent, and telemarketing.
6. Billing and Payment
You agree to pay all fees and charges associated with the services you purchase. Invoices are due within the terms stated on the invoice unless otherwise agreed in writing. Late payments may accrue interest and may result in suspension or termination of services. All fees are stated in US dollars unless otherwise noted. Taxes are the responsibility of the customer where applicable.
7. Service Level and Availability
We strive to maintain high availability and publish service level commitments in our service agreements. We do not guarantee uninterrupted service, as factors outside our control (including internet connectivity, carrier networks, and force majeure events) may affect service. We are not liable for outages or degradation caused by factors beyond our reasonable control.
8. Intellectual Property
All content, software, branding, and materials provided by Fentria are the property of Fentria Systems LLC or its licensors and are protected by intellectual property laws. You may not copy, reproduce, or distribute our materials without our prior written consent. You retain all rights to the content you transmit using our services.
9. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the services. This obligation survives termination of any service agreement and does not apply to information that is publicly available, independently developed, or rightfully received from a third party without restriction.
10. Disclaimers
Our services are provided "as is" and "as available," except to the extent expressly stated in a signed service agreement. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We do not warrant that the services will be error-free, uninterrupted, or free from harmful components.
11. Limitation of Liability
To the maximum extent permitted by law, Fentria shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising from your use of or inability to use our services. Our aggregate liability for any claim arising out of or relating to the services is limited to the amount you paid for the services giving rise to the claim during the twelve months preceding the event.
12. Indemnification
You agree to indemnify and hold harmless Fentria and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the services, your violation of these Terms, or your infringement of any third-party rights.
13. Termination
You may terminate your account at any time with notice. We may suspend or terminate your access to the services if you breach these Terms, fail to pay amounts due, or if we are required to do so by law. Upon termination, all outstanding amounts become immediately due. Provisions that by their nature should survive termination — including confidentiality, disclaimers, and limitation of liability — will remain in effect.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or our services shall be resolved through good-faith negotiation, and if not resolved, through binding arbitration administered in Raleigh, North Carolina. You and Fentria waive any right to participate in a class action.
15. Changes to These Terms
We may revise these Terms from time to time. We will post the updated Terms on this page with a revised "Last updated" date. Your continued use of our services after changes take effect constitutes your acceptance of the revised Terms.
